Terms of Service

This document serves as our Terms of Service ("Terms") and it constitutes as a legally binding agreement between you and Jurisdocx.

1. Acceptance of Terms

By accessing or using Jurisdocx platform at www.jurisdocx.com ("Service"), you agree to be bound by the following terms and conditions thereby giving full consent to the Privacy Policy. As such, if you do not agree to these Terms, you should not use our services.

2. Description of Service

Jurisdocx is a cloud-based legal practice management platform based in the Philippines. It is designed to help lawyer or law firms by providing a secure, reliable, and innovative mechanism of handling their business.

The Service includes matter management, client database, document storage, calendar scheduling, billing and invoicing, AI-assisted legal tools, and third-party integrations (e.g., Google Calendar, Microsoft Outlook).

3. User Accounts

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • You must immediately notify us of any unauthorized access or security breach.
  • Firm administrators are responsible for managing team member access and permissions within their firm account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable Philippine or international laws.
  • Upload malicious code, viruses, or any harmful content.
  • Attempt to gain unauthorized access to other users' accounts or firm data.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or transmit content that infringes on intellectual property rights.
  • Resell, sublicense, or redistribute the Service without written permission.

5. Data Ownership & Confidentiality

  • Your Data: You retain full ownership of all data you input into Jurisdocx, including client records, matter details, documents, and communications.
  • Attorney-Client Privilege: We recognize the sensitive nature of information stored in our Platform. Thus, we shall not access, review, or disclose your data, except when it is necessary to provide the Service, with your consent, or as required by law.
  • Multi-Tenancy: Each firm's data is logically isolated. Row-Level Security ensures no firm can access another firm's records.
  • Data Export: You may request a full export of your data at any time by contacting support.

6. AI-Powered Features

  • Jurisdocx offers AI-assisted features (document drafting, legal research, contract review) powered by third-party AI models.
  • AI-generated content is provided as a drafting aid and does not constitute legal advice. You are solely responsible for reviewing, verifying, and finalizing all AI-generated output.
  • Data sent to AI providers is transmitted securely and is not used to train their models.

7. Third-Party Integrations

When you connect third-party services (Google Calendar, Microsoft Outlook, etc.), you authorize Jurisdocx to access and sync data within the scopes you approve. Third-party services are governed by their own terms and privacy policies. Jurisdocx is not responsible for the availability or conduct of third-party services.

8. Subscription & Payments

  • Certain features of the Service may require a paid subscription.
  • Payments are processed through PayMongo. By subscribing to our Service, you agree to PayMongo's terms of service.
  • Subscription fees are billed in advance on a monthly or annual basis and are non-refundable, except as required by law.
  • We reserve the right to change pricing with 30 days' prior notice.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control (internet outages, third-party service failures, force majeure).

10. Limitation of Liability

To the maximum extent permitted by Philippine law:

  • Jurisdocx provides its services on an "as is" and "as available" basis without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Service.
  • Our total liability shall not exceed the amount you paid for the Service in the twelve (12) month period immediately prior to the event giving rise to such liability.
  • We are not responsible for the accuracy or completeness of AI-generated content.

11. Intellectual Property Rights

  • You acknowledge that all intellectual property rights to the Website exclusively belongs to us. As such, the right to use the Platform are licensed to you, and you have no rights to the Platform other than the right to use it in accordance with the Terms.
  • By uploading or making any content available through the Services or through Jurisdocx's advertising or promotional campaigns, you grant Jurisdocx an irrevocable, perpetual, non-exclusive, transferable, and royalty-free license, including the right to sub-license. This license authorizes Jurisdocx to use, access, copy, adapt, modify, distribute, transfer, publicly display, publicly perform, transmit, stream, broadcast, and otherwise utilize such content for purposes such as promoting or marketing the Platform and the Services. It also permits Jurisdocx to fulfill its obligations under this agreement, as well as to carry out any other purposes expressly provided in this or any related agreements between the parties.
  • You acknowledge that you have no right to have access to the Platform in its source code form.
  • Our status as the authors of the content on this Platform shall always be acknowledged.
  • You must not use any part of the content on our Platform for commercial purposes without obtaining a license to do so from Jurisdocx or our licensors.

12. Indemnification

You agree to indemnify and hold harmless Jurisdocx, its officers, employees, and agents from any claims, damages, costs, losses, or expenses including reasonable legal fees resulting from or arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights, as well as any laws or regulations.

13. Termination

  • You may terminate your account at any time by contacting our support.
  • We reserve the right to suspend or terminate your account if you violate these Terms, causing harm to our service or for other reason that we deem as necessary. We will provide prompt notification.
  • Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days to allow export, after which it will be permanently deleted.

14. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be resolved through mediation. However, when negotiation fails, the user agrees that the dispute(s) shall be submitted to the exclusive jurisdiction of the courts of Quezon City, Philippines.

15. Anti-Money Laundering Disclaimer

Jurisdocx is a software tool for legal practice management. It does not provide legal, financial, or compliance advice.

  • Not a covered institution: Jurisdocx is not a covered person or institution under Republic Act No. 9160 (Anti-Money Laundering Act of 2001, as amended) or its implementing rules and regulations. Jurisdocx does not perform financial transactions, hold client funds, or act as a financial intermediary.
  • User responsibility: Law firms and legal practitioners using Jurisdocx remain solely responsible for their own compliance with all applicable anti-money laundering laws, including but not limited to RA 9160, RA 10365, and relevant Anti-Money Laundering Council (AMLC) issuances.
  • No suspicious transaction reporting: Jurisdocx does not monitor, flag, or report suspicious transactions on behalf of its users. Users who are covered persons under AMLA must independently maintain their own AML compliance programs, customer due diligence procedures, and suspicious transaction reporting obligations.
  • Record retention: While Jurisdocx provides tools for document storage and record-keeping, users are responsible for ensuring their record retention practices comply with AMLC requirements and other applicable regulations.

16. Changes to These Terms

We may revise these Terms at any time. Material changes will be communicated via email or in-app notification at least 15 days before taking effect. Thus, your continued use of the Service after changes constitutes acceptance of the revised Terms.
